1. Acceptance of Terms

By accessing, browsing, or using GagaLeads (the "Platform"), operated by GC Ventures LLC ("Company," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must discontinue use of the Platform immediately.

The Platform is developed and maintained by Bergthold Ventures LLC. GagaLeads is a trading name of GC Ventures LLC.

2. Description of Service

GagaLeads is a marketing and lead generation platform that connects homeowners and property managers ("Requesters") with California-licensed contractors ("Contractors"). The Platform facilitates:

• Homeowner lead submission and trade type classification
• Contractor verification and profile management
• Lead matching, assignment, and exclusive lead delivery
• Communication tools between matched parties
• Post-completion reviews and feedback

3. User Accounts

3.1 Requester Accounts

Requesters may create an account to submit service requests ("Leads"). By creating an account, you agree to provide accurate contact information, including your name, email, phone number, service address, and ZIP code.

3.2 Contractor Accounts

Contractors must provide valid professional credentials during signup, including:

• A valid California Contractor State License Board (CSLB) license number
• Certification of active General Liability Insurance
• Accurate contact and business information

Contractor accounts are subject to verification. We reserve the right to reject, suspend, or terminate any contractor account that fails verification or misrepresents credentials.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized access.

4. Subscription, Fees & Payments

Contractors may be required to subscribe to a $60/month Maintenance Retainer to access and receive exclusive leads. Key terms:

• Free Trial: New contractors may receive a complimentary trial period at our discretion.
• Billing: Subscriptions are billed monthly via Stripe. GagaLeads does not store, process, or have access to your credit card or payment details — all payment processing is handled entirely by Stripe.
• Auto-Renewal: Subscriptions automatically renew each billing cycle unless cancelled.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• Refunds: Subscription fees are non-refundable unless otherwise agreed in writing.
• Lead Credits: Individual lead credits may be available for purchase. Unused credits do not carry over or accrue interest.

5. Lead Delivery & Marketplace

Leads are distributed based on service area, trade type, and matching criteria. The following terms govern our lead mechanics:

• Exclusive Assignment: Leads may be exclusively assigned to a single contractor for a limited period.
• Expiration: Assigned leads that are not acted upon within the designated time window may be returned to the open marketplace pool for reassignment.
• Lead Reveal: Contractor contact information is shared with the requester only after the contractor elects to reveal their interest in the lead.
• No Guarantee: We do not guarantee that any lead will result in a signed contract, completed project, or payment between parties.

6. Content & Upload Policy

Users are responsible for all content they upload or submit to GagaLeads, including photos, project descriptions, profile images, cover photos, and any other materials. All content must be:

• Directly related to the work or project being requested or performed
• Appropriate and professional in nature
• Free of any obscene, offensive, NSFW, or inappropriate material
• Free of content that violates applicable laws or regulations
• Content you have the right to share

Uploaded images may be processed by our AI-powered classification system (built on custom-tuned Google Gemini models) to automatically determine trade type, assess content quality, and moderate for inappropriate content. GagaLeads reserves the right to remove any content that violates this policy without notice.

7. AI-Powered Features

GagaLeads employs custom-tuned Gemini AI models with epsilon decay optimization and multiple custom acting agents to power various platform features, including but not limited to:

• Automatic trade type classification from project photos and descriptions
• Content moderation and quality assessment
• Intelligent lead-to-contractor matching
• Platform quality assurance and testing agents

AI-generated classifications are used to assist and streamline the matching process. Final lead assignment decisions may be reviewed and adjusted by our team.

8. Reviews & Feedback

Following the completion of a project, both Requesters and Contractors may be invited to participate in surveys and leave reviews. Reviews must reflect honest, good-faith experiences. We reserve the right to remove reviews that are fraudulent, abusive, or in violation of these Terms.

9. Account Deletion

You may request deletion of your account at any time by contacting us at support@gagaleads.com. Upon deletion:

• Your profile, personal data, and authentication records will be permanently removed
• Associated leads and project records may be archived in anonymized form for business reporting purposes
• Any active subscription will be cancelled
• This action is irreversible

10. Limited Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GC VENTURES LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM:

• The use of or inability to use the Platform
• Any work performed by contractors found through the Platform
• Any disputes between Requesters and Contractors
• Loss of data, revenue, or business opportunities
• Unauthorized access to your account

The Company makes no warranties, express or implied, regarding the work performed by any contractor. By using this service, you acknowledge that GC Ventures LLC is not liable for any damages, injuries, or losses resulting from services provided by third-party contractors.

11. Platform Status & Availability

GagaLeads is currently in Beta. While we strive for reliability, we do not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time without prior notice.

12. Dispute Resolution

Any disputes arising from or related to these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in the State of California, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

14. Modification of Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.
